Terms of Service
Effective 9 July 2026
These Terms of Service ("Terms") form a binding agreement between you and your organisation ("Customer", "you") and Safe Welkin Limited governing use of the DeCompass Platform. By creating an account or using the Platform you accept these Terms.
1. The service
DeCompass is a software-as-a-service compliance platform that connects real-time threat detection to automated regulatory compliance across frameworks including PCI DSS, UK GDPR, ISO 27001 and Cyber Essentials. We grant you a non-exclusive, non-transferable right to access the Platform for your internal business purposes during your subscription term.
2. Accounts and eligibility
You must provide accurate registration information, keep credentials secure, and are responsible for activity under your account. You must be authorised to bind your organisation to these Terms.
3. Subscriptions, fees and renewal
Fees are as stated in your order or plan. Unless stated otherwise, subscriptions renew automatically for successive terms.
Fees are exclusive of VAT and other applicable taxes.
Late or failed payment may result in suspension after 14 days notice.
4. Acceptable use
You must comply with our Acceptable Use Policy. In particular, security-scanning features may only be used against systems you own or are explicitly authorised to test. Unauthorised scanning is prohibited and may be unlawful.
5. Customer data and privacy
You retain all rights in the data you submit ("Customer Data") in line with our data subject right request procedure. We process Customer Data as your processor under our Data Processing Agreement and Privacy Policy.
6. Intellectual property
The Platform, including all software, content and trademarks (including "DeCompass"), is owned by Safe Welkin Limited. No rights are granted except as expressly set out in these Terms.
7. Service levels and support
Availability and support commitments are described in our Service Level Agreement.
8. Confidentiality
Each party will protect the other's confidential information and use it only to perform under these Terms.
9. Warranties and disclaimers
We provide the Platform with reasonable skill and care. Except as expressly stated, the Platform is provided "as is" and we disclaim all other warranties to the fullest extent permitted by law. Compliance outputs are decision-support tools and do not constitute legal advice or a guarantee of regulatory compliance.
10. Limitation of liability
Nothing limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, neither party is liable for indirect or consequential loss, and each party's total aggregate liability is limited to the fees paid or payable in the 12 months preceding the claim.
11. Term and termination
Either party may terminate for material breach not remedied within 30 days' notice, or on insolvency. On termination your right to use the Platform ends and we will make Customer Data available for export for a limited period before deletion in line with our retention policy.
12. Governing law
These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
